1Who these terms bind

These terms govern every sale by Clearline Supply Co. LLC ("we", "us") to an account holder ("you"). They apply to each order whether placed by purchase order, email, or through an account manager, and they override any conflicting terms printed on your purchase order unless we have agreed otherwise in a signed writing.

Submitting an order means you accept these terms as they read on the date of submission.

2Research use only

Material supplied under these terms is for laboratory research use only. It is not a drug, food, dietary supplement, cosmetic, or medical device. It has not been approved by the FDA or any other regulatory authority for any use in humans or animals, and it is not for diagnostic or therapeutic application.

You agree that you will not administer material supplied by us to humans, and will not administer it to animals outside a protocol approved by an institutional animal care and use committee or equivalent oversight body.

You agree not to resell, transfer, or redistribute material to individuals, and not to relabel or repackage it for any use inconsistent with these terms.

You are responsible for determining that the material is suitable for your intended application, for obtaining any institutional or regulatory approvals your work requires, and for handling, storing, and disposing of it in accordance with applicable law and your institution's safety procedures.

3Account eligibility and approval

We supply verified business and institutional accounts only. We do not sell to individuals or to consumers.

Every application is reviewed by a person. We verify the applicant's organization, contact details, receiving address, and stated use before releasing pricing or accepting an order. Approval is at our discretion and does not commit us to accepting any particular order.

We may suspend or close an account at any time, including where the information supplied to us proves inaccurate, where an order pattern is inconsistent with the stated research use, or where we are unable to verify a receiving address. Suspension does not affect orders already shipped.

You must tell us promptly if your organization, receiving address, or authorized purchasers change.

4Orders, quotations, and acceptance

Catalog listings and quotations are invitations to order, not offers. A contract forms only when we send an order confirmation. We may decline any order, in whole or in part, without giving a reason.

Quotations are valid for 30 days unless stated otherwise. Prices are exclusive of shipping, insurance, duties, and tax.

We may substitute an equivalent lot of the same product against an open order. We will not substitute a different product without your written agreement.

5Prices, payment, and taxes

Payment is by credit or purchasing card at the time of order, or on invoice terms where we have extended them in writing to your account. Net 30 terms, where granted, run from the invoice date.

Invoices unpaid after their due date accrue interest at 1.5% per month, or the maximum rate permitted by law if lower. We may suspend shipment on an account with an overdue balance.

Prices exclude sales, use, and excise taxes. Where an exemption applies, send us a valid exemption certificate before the order ships; we cannot credit tax retroactively once an invoice is issued.

Before disputing a card charge, contact us. Nearly every dispute we see is a receiving or documentation question we can resolve in a day. Write to accounts@novacoresupply.us.

6Delivery, title, and risk

Shipment is EXW our facility. Title and risk of loss pass to you when the carrier takes possession. Full shipping conditions, including cold-chain handling, are in our Shipping policy.

Delivery dates are estimates. We are not liable for delay, and delay does not entitle you to cancel an accepted order or to refuse a shipment.

You must inspect each shipment on arrival. Claims are governed by our Returns and Refunds policy.

7Specification, documentation, and warranty

Each lot ships against a certificate of analysis stating identity and purity as determined by the methods named on that certificate. A safety data sheet is supplied with the first shipment of a product to your account and after any revision.

We warrant that, at the time of delivery, material conforms to the specification on its certificate of analysis. This is our only warranty.

All other warranties are disclaimed to the fullest extent the law allows, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that material is suitable for your application, that results are reproducible in your hands, or that use of the material does not infringe a third party's rights.

Stability data, where published, applies to material stored continuously under the conditions on the container label. We make no representation about material stored otherwise after delivery.

8Limitation of liability

Our total liability arising from any order, on any theory, is limited to the amount you paid for the material giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost research time, cost of substitute goods, or damage to apparatus or specimens, even if we were advised such damages were possible.

Nothing here excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, or for fraud.

9Your indemnity

You will indemnify and hold us harmless against claims, losses, and expenses, including reasonable legal fees, arising from your use, storage, handling, or disposal of material supplied by us, from your breach of these terms, or from any administration of the material to a human or animal.

10Compliance, export, and restricted parties

You confirm that you may lawfully receive and possess the material you order in your jurisdiction, and that you will comply with all applicable laws in using it.

Material may be subject to United States export control and sanctions law. You will not export, re-export, or transfer material in breach of those rules, and you confirm that neither you nor your organization is a restricted or denied party.

We do not ship to jurisdictions subject to comprehensive United States sanctions.

11Lot traceability and recall

Every shipment is traceable to a specific lot. Keep the lot number on your records; it is on the container label, the packing slip, and the certificate of analysis.

If we withdraw a lot, we will contact each account that received it using the details on file. You agree to stop using the affected lot on notice and to follow the disposal or return instructions we give. Keeping your contact details current is what makes this possible.

12Confidentiality

Pricing, lot documentation, and specifications released to your account are supplied for your internal use. Do not publish or pass them to third parties without our written agreement. This does not restrict you from reporting research results.

13Changes to these terms

We may revise these terms. The version in force for an order is the version published on this page when the order was submitted. Material changes are notified to account holders by email at least 14 days before they take effect.

14Governing law and disputes

These terms are governed by the laws of the State of Montana, without regard to its conflict-of-laws rules. The state and federal courts located in Montana have exclusive jurisdiction, and both parties consent to venue there.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If any provision is held unenforceable, the rest remain in force.
